Terms of Service

1. Acceptance of Terms

By accessing or using the Audit Audio website at auditaudio.co (the “Site”) and any services, software, or beta programs provided by Audit Audio (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Site or Service.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or Service after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

Audit Audio provides a precision audio diagnostic platform designed for professional music producers and audio engineers. The Service includes frequency analysis, reference track comparison, variance mapping, and diagnostic reporting tools (“the Tools”). During the beta phase, certain features may be limited, experimental, or subject to change.

Audit Audio reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Beta Access & Eligibility

During the beta phase, access to the Service is provided on an invitation-only or application basis. By signing up for beta access, you represent that:

  • You are at least 18 years of age, or the age of majority in your jurisdiction.
  • The information you provide during sign-up is accurate, current, and complete.
  • You will maintain the confidentiality of any access credentials provided to you.
  • You are responsible for all activity that occurs under your beta access credentials.

Beta software is provided “as-is” and may contain bugs, errors, or incomplete functionality. Your participation in the beta program is voluntary, and any feedback you provide may be used to improve the Service without compensation or obligation to you.

We reserve the right to revoke beta access at any time, for any reason, without liability. Beta access does not guarantee access to the final released product, and beta features or pricing may differ materially from the released version.

4. Intellectual Property

Our IP. The Site, Service, and all associated content — including but not limited to software, algorithms, user interfaces, visual designs, graphics, trademarks, logos, text, documentation, and audio analysis methodologies — are the exclusive intellectual property of Audit Audio and are protected by copyright, trademark, and other intellectual property laws.

Your Content. Any audio files you upload or submit for analysis remain your intellectual property. Audit Audio does not claim ownership of your audio content. You grant Audit Audio a limited, non-exclusive license to process your audio files solely for the purpose of providing the diagnostic Service. Your audio files are not retained on our servers beyond the time necessary to complete the requested analysis.

Restrictions. You may not reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, or otherwise exploit any part of the Site or Service without our express written permission.

5. User Conduct & Acceptable Use

You agree not to use the Site or Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include, but are not limited to:

  • Uploading or transmitting viruses, malware, or any malicious code.
  • Attempting to gain unauthorized access to the Service, user accounts, or computer systems.
  • Using any automated means (bots, scrapers, crawlers) to access or collect data from the Service without our express permission.
  • Interfering with or disrupting the integrity or performance of the Service.
  • Using the Service to process audio content that you do not have the legal right to use.
  • Violating any applicable local, state, national, or international law or regulation.

6. Disclaimer of Warranties

The Site and Service are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, Audit Audio disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, secure, or available at any particular time or location.
  • Warranties that any defects or errors will be corrected.
  • Warranties that the results obtained from using the Service will be accurate, reliable, or fit for any specific creative or commercial purpose.

Audio analysis is inherently analytical and interpretive. Audit Audio does not guarantee that the Service will identify every issue in your audio, nor that the diagnostic output will align with subjective creative preferences. The Tools are decision-support instruments, not creative replacements.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Audit Audio and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, use, goodwill, or other intangible losses — arising out of or relating to your use of, or inability to use, the Site or Service.

Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to Audit Audio for the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100.00). During the beta phase when the Service is provided free of charge, the latter amount applies.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Audit Audio and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of and access to the Site and Service.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including intellectual property or privacy rights.
  • Any claim that your audio content caused damage to a third party.

9. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive termination.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in San Francisco County, California, in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. DMCA Compliance

Audit Audio respects the intellectual property rights of others. If you believe that any material available through the Site or Service infringes your copyright, you may submit a takedown notice in accordance with the Digital Millennium Copyright Act (DMCA). Please send a written notification including:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing, with sufficient detail to locate it.
  • Your contact information, including name, address, phone number, and email.
  • A statement that you have a good faith belief that the use of the material is not authorized.
  • A statement, under penalty of perjury, that the information in your notice is accurate.
  • Your physical or electronic signature.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Audit Audio regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
  • Assignment: You may not assign or transfer these Terms, or any rights granted hereunder, without our prior written consent. We may assign these Terms freely.
